End-User License Agreement (EULA) for Roboteka — automation robots for Bitrix24

This End-User License Agreement ("EULA") is a legal agreement between you and Remarkdigital Limited.

This EULA agreement governs your acquisition and use of our software "Roboteka — automation robots for Bitrix24" ("Software") directly from Remarkdigital Limited or indirectly through a Remarkdigital Limited authorized reseller or distributor (a "Reseller").

Please read this EULA agreement carefully before completing the installation process and using the Software. It provides a license to use the Software and contains warranty information and liability disclaimers.

If you register for a free trial of the Software, this EULA agreement will also govern that trial. By installing and/or using the Software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.

If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement.

This EULA agreement shall apply only to the Software supplied by Remarkdigital Limited herewith regardless of whether other software is referred to or described herein. The terms also apply to any Remarkdigital Limited updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

License Grant

Remarkdigital Limited hereby grants you a non-transferable, non-exclusive licence to use Roboteka — automation robots for Bitrix24 on your Bitrix24 in accordance with the terms of this EULA agreement.

You are permitted to install the Software under your control. You are responsible for ensuring your Bitrix24, internet browser and necessary software meet the minimum requirements of the Software.

You are not permitted to:

  • Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things
  • Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose
  • Allow any third party to use the Software on behalf of or for the benefit of any third party
  • Use the Software in any way which breaches any applicable local, national or international law
  • Use the Software for any purpose that Remarkdigital Limited considers is a breach of this EULA agreement

User-Configured Behaviour and Third-Party Services

The Software lets you design, configure and execute robot scenarios ("Scenarios") that act on your data and connect to external systems. This includes, without limitation, robots that compose and send HTTP requests to arbitrary endpoints you specify, transmit personal or business data to third-party services, and perform other operations using the credentials, integrations or content you provide. The selection of recipients, the contents of any outbound payload, and the lawfulness of each Scenario are determined solely by you.

You are solely responsible for:

  • the compliance of every Scenario with applicable law, including data protection, electronic communications, advertising, consumer protection, banking and other professional secrecy, and intellectual property law;
  • obtaining all consents, authorisations and other lawful bases required to transmit data to third parties, including across borders;
  • your choice of, and your relationship with, any external service, API or third-party endpoint a Scenario interacts with — Remarkdigital Limited is not a party to that relationship, does not endorse those services and does not control their availability, security or terms;
  • the consequences of executing a Scenario, including the dispatch of incorrect, incomplete or misleading data, the exceeding of any third-party rate limits or quotas, and any financial, reputational, regulatory or legal effects that follow.

You agree to indemnify and hold Remarkdigital Limited and its affiliates harmless from and against any claim, demand, fine, penalty, loss or expense (including reasonable legal fees) brought by any third party or authority and arising out of or related to a Scenario you configured or executed using the Software. For the avoidance of doubt, the Limitation of Liability set out below applies in full to all matters covered by this section.

Intellectual Property and Ownership

Remarkdigital Limited shall at all times retain ownership of the Software as originally downloaded (installed) by you and all subsequent downloads (installations) of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of Remarkdigital Limited.

Remarkdigital Limited reserves the right to grant licences to use the Software to third parties.

Termination

This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Remarkdigital Limited.

It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.

Disclaimer of Warranties; "AS IS"

The Software is licensed and provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the Software is at your sole risk. To the fullest extent permitted by applicable law, Remarkdigital Limited and its licensors disclaim all warranties and conditions of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, non-infringement, and any warranty arising from course of dealing or usage of trade.

Without limiting the foregoing, Remarkdigital Limited does not warrant that the Software will meet your requirements, operate without interruption, be available at any particular time or location, be secure or error-free, or that any defects or errors will be corrected. No oral or written information or advice given by Remarkdigital Limited shall create any warranty not expressly stated in this EULA.

Some jurisdictions do not allow certain warranty exclusions; in such jurisdictions, the exclusions apply to the maximum extent permitted by law.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Remarkdigital Limited, nor its affiliates, directors, officers, employees, agents, or suppliers, be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, goodwill, data, use, or other intangible losses, or any damages for business interruption, cost of substitute services, or similar economic loss, arising out of or in connection with this EULA or your use of or inability to use the Software, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if Remarkdigital Limited has been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, Remarkdigital Limited shall not owe you any payments, compensation, reimbursement, damages, or other monetary amounts of any kind for any claims arising out of or relating to this EULA or the Software. Your sole and exclusive remedy with respect to any dissatisfaction with the Software is to stop using the Software.

Nothing in this EULA limits or excludes any liability that cannot legally be limited or excluded under mandatory applicable law.

Governing Law

This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of Remarkdigital Limited's jurisdiction.
